These Terms and Conditions ("Terms") govern your access to and use of the ClimateAI Analytics platform and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing the platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.
2. Description of Services
ClimateAI Analytics provides:
- AI-powered climate risk prediction and forecasting
- Carbon footprint tracking and emissions monitoring
- Automated ESG compliance reporting (CSDS 1 & 2)
- Climate intelligence dashboards and insights
- Verified ESG profile generation and certification
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and authorized to represent your organization to use our Services. You represent that all information provided during registration is accurate and current.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
4. Use of Services
4.1 Permitted Use
You may use our Services for lawful business purposes related to climate risk management, ESG compliance, and sustainability reporting.
4.2 Prohibited Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Services
- Use automated tools to scrape or extract data
- Resell or redistribute our Services without permission
- Upload malicious code, viruses, or harmful content
5. Data and Content
5.1 Your Data
You retain ownership of all data you input into the platform. By using our Services, you grant us a license to process your data solely for providing and improving the Services.
5.2 Climate Data Sources
We aggregate data from publicly available sources including satellite imagery, government climate records, and environmental datasets. While we strive for accuracy, we do not guarantee the completeness or precision of third-party data sources.
5.3 Generated Reports
ESG reports and climate assessments generated by our platform are based on the data you provide and our AI analysis. You are responsible for reviewing and verifying all outputs before use in regulatory submissions or business decisions.
6. Intellectual Property
All rights, title, and interest in the Services, including software, algorithms, designs, and content, are owned by ClimateAI Analytics or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission.
7. Subscription and Payment
7.1 Fees
Subscription fees are outlined in your service plan. Fees are subject to change with 30 days' notice.
7.2 Billing
Fees are billed in advance on a monthly or annual basis. Payment is due upon invoice receipt. Late payments may result in service suspension.
7.3 Refunds
Refunds are provided at our discretion. No refunds are given for partial month usage upon cancellation.
8. Term and Termination
8.1 Term
These Terms remain in effect while you use the Services.
8.2 Termination by You
You may terminate your account at any time by contacting us or through your account settings.
8.3 Termination by Us
We may suspend or terminate your access if you:
- Violate these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activity
8.4 Effect of Termination
Upon termination, your right to access the Services ceases. We may delete your data after a reasonable retention period, subject to legal requirements.
9. Disclaimers and Limitations of Liability
9.1 Service Disclaimer
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation.
9.2 Climate Predictions
Climate risk predictions are probabilistic forecasts based on historical data and AI models. They should be used as one factor in decision-making, not as definitive predictions. We are not liable for decisions made based on our analyses.
9.3 Limitation of Liability
To the maximum extent permitted by law, ClimateAI Analytics shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from reliance on platform outputs
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold ClimateAI Analytics harmless from any claims, damages, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your infringement of third-party rights
- Inaccurate data you provide
11. Compliance with Laws
You are responsible for ensuring your use of the Services complies with all applicable laws, including Canadian privacy laws (PIPEDA), CSDS disclosure requirements, and environmental regulations.
12. Modifications to Terms
We may update these Terms periodically. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Services after changes constitutes acceptance.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
13.2 Dispute Resolution
Any disputes shall be resolved through good faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration Act of Ontario.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClimateAI Analytics.
14.2 Severability
If any provision is found unenforceable, the remaining provisions shall remain in full effect.
14.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
14.4 Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
